1 INTRODUCTION
(a)These terms and conditions (Terms) apply when you use this website, Invent the Compass Limited (Website).
(b) You agree to be bound by these Terms which form a binding contractual agreement between you and Invent the Compass Limited.
(c) If you don’t agree to these Terms, you must refrain from using the Website.
(d) We may change these Terms at any time by updating this page of the Website, and your continued use of the Website following such an update will represent an agreement by you to be bound by the Terms as amended.

(f)bookings will not be made by phone. This is to ensure that there is no confusion.
(g) Any bookings made need a minimum of 48 hours notice. Cancellations made by Invent the compass LTD will be made in advance unless an emergency arises.
A 15-minute grace period will be allowed for lateness on the part of either party due to technical or travel difficulties. In the event of technical difficulties during a lesson, the entire paid lesson will be rescheduled for another day or time. If unforeseen circumstances prevent a scheduled lesson from proceeding, a new time will be arranged with you.
(h) Any group bookings made cannot be cancelled due to an absence of another party in the group. Additionally, the absentee will still need to commit to payment. All group bookings are based on a price per application.
(i) Time will not be added on if the client decided that they need a break during the lesson.
(j) We expect all our clients to have equipment necessary for their lesson.
(k) Please note that all lessons are recorded for safeguarding purposes only. These are destroyed within 7 days of the recording.

2 ACCESS AND USE OF THE WEBSITE

11 GENERAL
11.1 GOVERNING LAW AND JURISDICTION
This agreement is governed by the law applying in the UK. Each party irrevocably submits to the exclusive jurisdiction of the courts of UK and courts of appeal from them in respect of any proceedings arising out of or in connection with this agreement. Each party irrevocably waives any objection to the venue of any legal process on the basis that the process has been brought in an inconvenient forum.

No party to this agreement may rely on the words or conduct of any other party as a waiver of any right unless the waiver is in writing and signed by the party granting the waiver.
11.3 SEVERANCE
Any term of this agreement which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity and enforceability of the remainder of this agreement is not limited or otherwise affected.
11.4 JOINT AND SEVERAL LIABILITY
An obligation or a liability assumed by, or a right conferred on, two or more persons binds or benefits them jointly and severally.
11.5 ASSIGNMENT
A party cannot assign, novate or otherwise transfer any of its rights or obligations under this agreement without the prior written consent of the other party.
11.6 ENTIRE AGREEMENT
This agreement embodies the entire agreement between the parties and supersedes any prior negotiation, conduct, arrangement, understanding or agreement, express or implied, in relation to the subject matter of this agreement.
11.7 INTERPRETATION
(a) (singular and plural) words in the singular includes the plural (and vice versa);
(b)(gender) words indicating a gender includes the corresponding words of any other gender;
(c)(defined terms) if a word or phrase is given a defined meaning, any other part of speech or grammatical form of that word or phrase has a corresponding meaning;
(d)(person) a reference to “person” or “you” includes an individual, the estate of an individual, a corporation, an authority, an association, consortium or joint venture (whether incorporated or unincorporated), a partnership, a trust and any other entity;
(e)(party) a reference to a party includes that party’s executors, administrators, successors and permitted assigns, including persons taking by way of novation and, in the case of a trustee, includes any substituted or additional trustee;
(f)(this agreement) a reference to a party, clause, paragraph, schedule, exhibit, attachment or annexure is a reference to a party, clause, paragraph, schedule,
exhibit, attachment or annexure to or of this agreement, and a reference to this agreement includes all schedules, exhibits, attachments and annexures to it;
(g) (document) a reference to a document (including this agreement) is to that document as varied, novated, ratified or replaced from time to time;
(h)(headings) headings and words in bold type are for convenience only and do not affect interpretation;
(i) (includes) the word “includes” and similar words in any form is not a word of limitation;
(j)(adverse interpretation) no provision of this agreement will be interpreted adversely to a party because that party was responsible for the preparation of this agreement or that provision; and
(k) (currency) a reference to £ or pounds, is the United Kingdom currency, unless otherwise agreed in writing.
11.8 Payment and Invoicing
(a) Payment will be taken in advance. This document needs to be signed fully before lessons/Consultations take place.
(b) once a block booking has started full payment will be required.
(c) cancellations will only be tolerated 48 hours prior notice and the next available slot will be offered.
(d) Once block bookings commence the full completion of this series of consultations is required cancellations cannot be made halfway through the series of consultations.
(e) face to face consultations are based on price on application and will therefore be a premium cost.
(f) any offers that are advertised on Invent the Compass are subject to change.
(g) all offers are discretionary and can change with no notice period.
(h) any referral made due to a discount scheme can only be used once.
12.8 Health and Safety
(a) Invent the Compass employees have the right to work in a safe environment.
(b) When face to face consultations are taking place we will be using our own web cams and Invent the Compass colleagues will be informed of our location and time of our consultation. Online video conferencing our lessons may be recorded.
(c) Our recorded videos of our consultation will be kept a secure location and will not be used for anything other that both parties safety.
(d) Invent the Compass employees expect to work in a safe environment. if clients are behaving in a manner that is not suitable, contracts will be severed immediately. Therefore, during the consultation either face to face or online the consultation will be halted immediately. Payment will still be taken for the entirety of that lesson.
(f) face to face consultations will finish at the time given. We do not offer child minding services. The duty of care for your child is your sole responsibility.
12.9
(a)This agreement is by all parties. This agreement is for the duration of all ongoing consultations/lessons. The agreement stops when consultations/lessons are severed, and bookings cease more than 6 months. Information of clients will be held on our data base for 6 months after the last contact.
(b) New agreements will have to be signed if there are 6 months between each consultation/lessons or bookings.
